These Terms and Conditions govern your use of services provided by Velantis ("we," "us," or "our"). By engaging our property rental services, contacting us for consultation, or using our website, you agree to be bound by these terms.

If you do not agree with any part of these terms, please do not use our services. We recommend reading this document carefully before proceeding with service engagement.

2. Definitions

• "Services" refers to all property rental consultation, property search, documentation support, and transition assistance services offered by Velantis.
• "Client" or "you" means the individual or entity engaging our services.
• "Property" means residential real estate available for rental in Singapore.
• "Agreement" refers to the service agreement formed between Velantis and the Client upon service engagement.
• "Website" means the Velantis online platform and all associated digital properties.

3. Use of Services

3.1 Eligibility

You must be at least 21 years of age to engage our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements.

3.2 Service Description

Our services include property search and matching, viewing coordination, lease negotiation support, documentation assistance, and transition coordination. Specific services provided will be outlined in your service agreement.

3.3 Information Accuracy

You agree to provide accurate, current, and complete information during service engagement. You are responsible for updating us promptly if your circumstances or requirements change during our service period.

4. Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws or regulations in Singapore
• Infringe upon the intellectual property rights of Velantis or third parties
• Transmit harmful code, viruses, or malicious software
• Attempt unauthorized access to our systems or data
• Engage in fraudulent activities or misrepresentation
• Harass, abuse, or harm other clients, property owners, or our staff
• Use automated systems to scrape or collect data from our website
• Resell or redistribute our services without authorization

5. Intellectual Property

5.1 Ownership

All content on our website and in our materials, including text, graphics, logos, images, and software, is the property of Velantis or its licensors and is protected by Singapore and international copyright laws.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our website and services for their intended purpose. This license does not include any right to copy, modify, distribute, or create derivative works.

5.3 Client Content

By providing information, documents, or content to us, you grant Velantis a license to use this material solely for the purpose of delivering services to you. We will not use your content for any other purpose without your consent.

6. Payment Terms

6.1 Service Fees

Service fees are specified in Singapore Dollars (SGD) on our website and in service agreements. All prices are subject to change with notice, but changes will not affect services already contracted.

6.2 Payment Schedule

Payment terms will be specified in your service agreement. Generally, fees are due upon service completion or according to agreed milestones for comprehensive service packages.

6.3 Payment Methods

We accept bank transfers, credit cards, and other payment methods as specified in your agreement. All transactions are processed securely through approved payment processors.

6.4 Taxes

All fees are exclusive of applicable taxes. Goods and Services Tax (GST) and other applicable taxes will be added to your invoice as required by Singapore tax regulations.

7. Refund Policy

7.1 Service Satisfaction

If you are unsatisfied with our services, please contact us within 7 days of service completion to discuss your concerns. We will work to address any issues and, where appropriate, may offer partial refunds based on the circumstances.

7.2 Non-Refundable Items

Fees paid for completed services, consultation time already provided, and administrative costs are generally non-refundable. Refund eligibility will be assessed on a case-by-case basis.

7.3 Processing Time

Approved refunds will be processed within 14 business days and returned via the original payment method. Please note that your financial institution may require additional time to post the credit to your account.

8. Disclaimers and Limitations of Liability

8.1 Service Provision

Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we do not guarantee that our services will meet all your expectations or result in securing any particular property.

8.2 Property Information

We provide property information based on data from property owners and public sources. While we verify information where possible, we cannot guarantee the absolute accuracy of all details and encourage clients to conduct their own inspections and due diligence.

8.3 Third-Party Actions

We are not responsible for actions, representations, or decisions made by property owners, building management, or other third parties. Our role is to facilitate connections and provide guidance, not to guarantee third-party behavior.

8.4 Limitation of Liability

To the maximum extent permitted by Singapore law, Velantis shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Service Termination

9.1 Client Termination

You may terminate our services at any time by providing written notice. Fees for services already rendered remain payable. Termination does not entitle you to refunds for completed work unless otherwise specified in your service agreement.

9.2 Our Right to Terminate

We reserve the right to terminate services if you breach these terms, provide false information, engage in abusive behavior toward staff, or if we determine that we cannot effectively serve your needs.

9.3 Effect of Termination

Upon termination, you must cease using our services and materials. Provisions regarding payment, intellectual property, confidentiality, and dispute resolution survive termination of the service relationship.

10. Dispute Resolution

10.1 Informal Resolution

If any dispute arises, we encourage you to first contact us directly to seek an informal resolution. Many concerns can be addressed through open communication.

10.2 Mediation

If informal resolution is unsuccessful, both parties agree to attempt mediation through a mutually agreed mediator before pursuing other legal remedies.

10.3 Governing Law and Jurisdiction

These terms are governed by the laws of Singapore. Any legal proceedings arising from these terms or our services shall be subject to the exclusive jurisdiction of the Singapore courts.

11. General Provisions

11.1 Entire Agreement

These terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Velantis regarding our services and supersede all prior communications and proposals.

11.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

11.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Velantis.

11.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any successor or affiliate.
